Agreement to Terms

By accessing or using inoa.kitchen (the "Site") or placing a pre-order, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Site.

These Terms apply to all visitors, customers, and others who access or use the Site.

About Inoa

Inoa Food Group LLC ("Inoa," "we," "us," or "our") is a food business operating a ghost kitchen in Scotts Valley, California, offering pre-order poke bowls and sushi for pickup and delivery.

Pre-Orders

All orders placed through the Site are pre-orders. By submitting a pre-order, you agree to:

• Provide accurate contact and fulfillment information
• Be available to receive a confirmation text from us within a reasonable timeframe
• Pick up or accept delivery of your order within the scheduled window

An order is not confirmed until you receive a confirmation text from Inoa. We reserve the right to decline or cancel any order at our discretion.

Pricing & Payment

All prices displayed on the Site are in US dollars. Prices are subject to change without notice. Payment is collected at the time of pickup or delivery. We accept cash and major credit/debit cards.

Promotional discounts (including student discounts) are applied at our discretion and may require verification. Inoa reserves the right to modify or discontinue any promotion at any time.

Voucher Program

Inoa participates in an office voucher program for employees at 100 Enterprise Way, Scotts Valley. Vouchers are issued by the building operator and are subject to availability. Inoa is not responsible for lost, stolen, or expired vouchers. Physical vouchers must be presented at pickup — digital or verbal claims will not be accepted.

Voucher values may not be combined with other promotions unless explicitly stated.

Delivery

Delivery availability is subject to our service area and scheduling. A delivery fee may apply. Free delivery is available for UC Santa Cruz students with a valid on-campus address, subject to verification.

We are not responsible for delays caused by inaccurate addresses, inaccessible locations, or circumstances beyond our control.

Food Safety & Allergens

Our kitchen handles common allergens including soy, sesame, fish, shellfish, gluten, and tree nuts. We cannot guarantee an allergen-free environment. Our menu includes raw and undercooked fish. Consuming raw fish may increase the risk of foodborne illness.

Customers are responsible for informing us of any food allergies or dietary restrictions at the time of ordering. Inoa is not liable for adverse reactions resulting from undisclosed allergies or sensitivities.

Intellectual Property

All content on this Site — including text, images, logos, and design — is the property of Inoa Food Group LLC and is protected by applicable copyright and trademark laws. You may not reproduce, distribute, or use our content without express written permission.

User Conduct

You agree not to use the Site for any unlawful purpose or in any way that could damage, disable, or impair the Site or interfere with any other user's experience. You may not attempt to gain unauthorized access to any portion of the Site or its related systems.

Disclaimer of Warranties

The Site and its content are provided "as is" without warranties of any kind, either express or implied. Inoa does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

To the fullest extent permitted by law, Inoa Food Group LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or our products, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of these Terms or your use of the Site shall not exceed the amount you paid for the specific order giving rise to the claim.

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Santa Cruz County, California.
